Terms of Service for MeritHire
Welcome to MeritHire, a recruiting and candidate screening platform operated by Sophia OS Corp (“MeritHire,” “Company,” “we,” “our,” or “us”). By accessing or using the MeritHire website, applications, services, interview systems, or related technologies (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, you may not use the Services.
1. Eligibility
You must be at least 18 years old to use the Services. By using MeritHire, you represent and warrant that:
- you are legally capable of entering into a binding agreement;
- all information you provide is accurate and current; and
- your use of the Services complies with applicable laws and regulations.
2. Description of Services
MeritHire provides AI-assisted recruiting, candidate screening, interviewing, analytics, and hiring workflow tools for employers, recruiters, and job candidates.
The Services may include:
- AI-powered voice and video interviews;
- automated interview scheduling and screening;
- transcription and summarization;
- candidate evaluation assistance;
- recruiter collaboration tools;
- messaging and communication tools; and
- data analytics and reporting.
MeritHire does not guarantee employment, hiring outcomes, candidate placement, or recruiting success.
3. AI-Assisted Services
MeritHire uses artificial intelligence and machine learning technologies to assist with candidate screening, interview analysis, summaries, and recommendations.
You acknowledge and agree that:
- AI-generated outputs may contain inaccuracies or incomplete information;
- AI-generated recommendations are advisory only;
- all hiring and employment decisions remain solely the responsibility of employers and recruiters;
- MeritHire does not make employment decisions on behalf of employers; and
- human review may be used in conjunction with AI systems.
Employers are solely responsible for ensuring compliance with all employment, anti-discrimination, and hiring laws applicable to their use of the Services.
4. Recording and Consent
By using the Services, candidates and users consent to the recording, storage, processing, transcription, and analysis of interviews and communications conducted through the platform.
This may include:
- audio recordings;
- video recordings;
- transcripts;
- interview responses;
- messages; and
- metadata associated with interviews.
If you do not consent to recording, you may not participate in interviews conducted through the Services.
Users represent and warrant that they have obtained all necessary rights and consents required by applicable law before recording or submitting content through the platform.
5. Accounts
To access certain features, users may be required to create an account.
You are responsible for:
- maintaining the confidentiality of your account credentials;
- all activity conducted under your account; and
- promptly notifying us of unauthorized access or security breaches.
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Employer and Recruiter Responsibilities
Employers and recruiters agree that they:
- are solely responsible for their hiring decisions;
- will not use the Services for unlawful discrimination;
- will comply with all applicable employment laws;
- will not submit false or misleading job postings;
- will not misuse candidate information; and
- will only use candidate data for legitimate recruiting purposes.
7. Candidate Responsibilities
Candidates agree that they:
- will provide truthful and accurate information;
- will not impersonate another individual;
- will not attempt to manipulate or interfere with interviews or AI systems; and
- understand that participation in interviews may be recorded and analyzed.
8. User Content
Users may upload or submit resumes, job descriptions, notes, messages, PDFs, recordings, and other content (“User Content”).
You retain ownership of your User Content. However, by submitting User Content, you grant MeritHire a worldwide, non-exclusive, royalty-free license to:
- host;
- store;
- process;
- reproduce;
- analyze;
- transmit; and
- display such content as necessary to provide and improve the Services.
You represent and warrant that:
- you own or have the rights to submit the content;
- the content does not violate any law or third-party rights; and
- the content is not unlawful, fraudulent, or malicious.
9. Prohibited Conduct
You may not:
- violate any applicable law or regulation;
- infringe intellectual property rights;
- upload malicious software or harmful code;
- interfere with the operation or security of the Services;
- scrape or harvest platform data without authorization;
- use the Services to discriminate unlawfully; or
- attempt to reverse engineer AI systems or platform infrastructure.
10. Data Retention
MeritHire may retain recordings, transcripts, analytics, and related data indefinitely unless otherwise required by law or requested for deletion where applicable.
Users may request account deletion subject to legal, contractual, and operational retention requirements.
11. Intellectual Property
The Services, including all software, technology, branding, interfaces, designs, and AI systems, are owned by Sophia OS Corp or its licensors and are protected by intellectual property laws.
Except as expressly authorized, users may not copy, modify, distribute, or create derivative works from the Services.
12. Third-Party Services
MeritHire may integrate with or use third-party providers, including cloud infrastructure, AI providers, communications providers, analytics services, and authentication systems.
We are not responsible for third-party services or their availability, security, or practices.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERITHIRE DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT; AND
- ACCURACY OR RELIABILITY OF AI OUTPUTS.
We do not guarantee uninterrupted or error-free operation of the Services.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOPHIA OS CORP SHALL NOT BE LIABLE FOR:
- INDIRECT;
- INCIDENTAL;
- CONSEQUENTIAL;
- SPECIAL; OR
- PUNITIVE DAMAGES,
INCLUDING LOST PROFITS, LOST DATA, OR EMPLOYMENT OUTCOMES ARISING FROM USE OF THE SERVICES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID TO MERITHIRE BY THE APPLICABLE CUSTOMER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify and hold harmless Sophia OS Corp and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from:
- your use of the Services;
- your violation of these Terms; or
- your violation of applicable law or third-party rights.
16. Termination
We may suspend or terminate access to the Services at any time for violations of these Terms or to protect the integrity and security of the platform.
17. Governing Law
These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
18. Changes to These Terms
We may update these Terms from time to time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
